Terms of Service

These terms govern your use of Qoveris, a software-as-a-service platform provided by Core Matrix s.r.l., a company incorporated in Italy (“Core Matrix”, “we”, “us”). By creating an account or using the service you accept these terms.

1. The service

Qoveris is a quantum-era optimization and analysis platform. It lets you formulate optimization problems (such as portfolio selection), build QUBO/Ising models, run them on classical solvers and — where your plan and credentials allow — on quantum hardware, and generate reports and risk analyses, assisted by an optional AI agent.

Important — decision support, not advice. Results produced by Qoveris (including optimized portfolios, risk metrics, reports and AI agent output) are computational decision-support tools. They are not financial, investment, legal or tax advice, and no output constitutes a recommendation to buy, sell or hold any financial instrument. You are solely responsible for any decision you take based on results from the platform, and you should involve qualified professionals where appropriate.

2. Accounts & acceptable use

You need an account (email/password or Google sign-in via Firebase Authentication) to use the service. You are responsible for keeping your credentials secure and for all activity under your account and workspaces.

  • Do not abuse the service: no attempts to breach security, access other customers' data, probe or overload our infrastructure, or reverse-engineer the platform.
  • Respect the rate limits and usage quotas of your plan; do not circumvent metering or entitlement checks.
  • Do not use the service for unlawful purposes or to process content you have no right to process.
  • API keys you mint for a workspace must be kept confidential; you are responsible for calls made with them.

We may suspend or terminate accounts that materially violate these terms, normally after notice unless the violation creates immediate risk to the service or other customers.

3. Plans, billing & taxes

Qoveris is offered in Free, Pro and Enterprise tiers. Each tier controls entitlements such as quantum-hardware access, maximum problem size, monthly runs and API keys, as shown on the plan page at the time of purchase.

  • Paid subscriptions are billed through Stripe; we do not store your card details.
  • You can cancel at any time; your paid plan remains active until the end of the current billing period, then reverts to Free.
  • Prices are exclusive of taxes. EU VAT is applied where required by law (reverse charge may apply to VAT-registered business customers).
  • Enterprise plans are concluded by separate written agreement, which prevails over these terms where they conflict.

4. Bring-your-own-key (BYOK) provider credentials

You may store your own third-party provider credentials (e.g. Anthropic API key, D-Wave, IBM Quantum, AWS Braket) in a workspace vault. For those credentials:

  • They are used only to execute your own workspace's jobs (agent calls, hardware solver runs) — never for anything else.
  • They are encrypted server-side with envelope encryption (Google Cloud KMS) and are never displayed again after saving — only the last 4 characters are shown for recognition.
  • You can remove them at any time from the workspace settings.
  • Any costs the third-party provider charges for usage under your credentials are yours; your relationship with those providers is governed by their own terms.

5. Intellectual property

You own your data and your results: the datasets, problem definitions, experiments, reports and other content you create in your workspaces remain yours. You grant us only the limited rights needed to host and process that content in order to provide the service. Core Matrix owns the Qoveris platform — the software, models of operation, interfaces, branding and documentation — and no rights in them are transferred to you beyond the right to use the service under these terms.

6. Availability

We operate the service with care on EU cloud infrastructure, but on the Free and Pro plans no service-level agreement (SLA) is offered — the service is provided “as is” and maintenance windows or outages may occur. Enterprise customers may agree a dedicated SLA by contract. Third-party quantum hardware and AI providers have their own availability, which we do not control.

7. Limitation of liability

To the maximum extent permitted by applicable law, Core Matrix is not liable for indirect or consequential damages, loss of profits, loss of data caused by factors outside our reasonable control, or losses arising from decisions made on the basis of platform results (see Section 1). Our aggregate liability arising out of the service is limited to the amounts you paid to us in the twelve (12) months preceding the event giving rise to the claim. Nothing in these terms excludes liability that cannot be excluded under Italian law, including liability for willful misconduct or gross negligence.

8. Governing law & jurisdiction

These terms are governed by Italian law. Any dispute arising from or connected with the service will be submitted to the Italian court of competent jurisdiction, without prejudice to mandatory consumer-protection rules that grant consumers the courts of their place of residence.

9. Changes to these terms

We may update these terms as the service evolves. For material changes we will give reasonable advance notice (e.g. by email or an in-app notice). If you continue using the service after a change takes effect, the updated terms apply; if you do not agree, you may cancel and stop using the service.
